1. About these Terms

1.1       These Terms and Conditions (Terms) form a binding agreement between Sarah Connelly, ABN 43 295 734 064 (Coach, I, me, my) and the person or organisation acquiring the Services (you, your).

1.2       You accept these Terms when you do any of the following: pay a Fee or deposit; book a session; enrol in a Program or the Membership; tick an acceptance box on a booking or checkout form; sign an acceptance form or proposal; or attend or participate in any Service.

1.3       Where an organisation acquires Services for its staff (a Workplace Program), the organisation is the client and agrees to these Terms on its own behalf. Each individual who participates (a Participant) must also be given a copy of these Terms and, by participating, agrees to clauses 3, 4, 5, 6, 8, 11, 12 and 13 as they apply to individuals.

1.4       These Terms apply together with any written proposal, program description, booking confirmation or invoice I give you (Program Details). If there is any inconsistency, the Program Details prevail for matters of price, dates, inclusions and duration, and these Terms prevail for everything else.

1.5       You must be at least 18 years old and have legal capacity to enter into this agreement.

2. Definitions

2.1       Services means any coaching, education, program, community access, workplace session, content or material I provide, including 1:1 Coaching, Group Programs, the Membership, Workplace Programs and Materials.

2.2       1:1 Coaching means individual coaching sessions or packages delivered by video call, phone or in person.

2.3       Group Program means a time-limited coaching program delivered to a group, including any 90-day or 30-day program, whether live, self-led or supported.

2.4       Membership means the ongoing subscription-based community, including group calls, recorded call library and any online community space.

2.5       Workplace Program means workshops, sessions, presentations or coaching delivered to an organisation or its staff.

2.6       Materials means workbooks, videos, recordings, templates, slides, worksheets, emails, community posts and any other content I create or supply.

2.7       Fees means the amounts payable for the Services as set out in the Program Details or at checkout, inclusive of GST where applicable.

2.8       Australian Consumer Law or ACL means Schedule 2 of the Competition and Consumer Act 2010 (Cth).

3. Nature of the Services: coaching, not therapy

3.1       The Services are coaching and education. Coaching is a collaborative, goal-focused and forward-looking process that supports you to clarify what you want, build skills and habits, and take action in relation to your relationship with alcohol, your wellbeing and your everyday life.

3.2       The Services are not, and must not be relied on as, any of the following:

(a)      psychotherapy, counselling, psychology, psychiatry or any other mental health treatment;

(b)     medical advice, diagnosis, treatment or care of any kind;

(c)      alcohol or drug detoxification, withdrawal management, rehabilitation or addiction treatment;

(d)     a crisis, emergency or suicide-prevention service; or

(e)     a substitute for any of the above, or for the advice of your GP, psychologist, psychiatrist, counsellor or other health professional.

3.3       I am not a medical practitioner, psychologist, psychiatrist, counsellor, social worker or other registered health practitioner, and I am not registered with the Australian Health Practitioner Regulation Agency (AHPRA). I do not diagnose, treat, cure or prevent any disease, disorder or condition, including alcohol use disorder, and I do not give advice about medication.

3.4       Any information I share about alcohol, health, neuroscience, psychology or behaviour change is general educational information only. It is not tailored medical or clinical advice for your individual circumstances, even where it is discussed in a 1:1 session.

3.5       Coaching involves discussing personal topics. If, in my reasonable view, your needs fall outside the scope of coaching (for example, signs of physical dependence, significant mental health concerns, trauma, or risk of harm), I may pause, adapt or decline to continue the Services and will encourage you to seek support from an appropriate professional. This is a judgement made in good faith and is not a clinical assessment.

3.6       No guarantee of results. I do not promise or guarantee any particular outcome, including that you will reduce or stop drinking, or achieve any health, relationship, career or financial result. Outcomes depend on many factors, including your circumstances, health, effort and choices. Any examples, case studies or testimonials describe individual experiences and are not a prediction of your results.

4. Your health, safety and medical care

4.1       You are solely responsible for your own physical and mental health and for all decisions you make about your health, including any decision to reduce, stop or change your alcohol consumption.

4.2       Medical warning about alcohol withdrawal. For people who are physically dependent on alcohol, stopping or sharply reducing drinking without medical supervision can cause serious and potentially life-threatening withdrawal symptoms, including seizures, hallucinations, severe confusion and delirium tremens. Warning signs of physical dependence can include drinking to relieve or avoid shaking, sweating, nausea, anxiety or poor sleep; drinking in the morning; or past withdrawal symptoms. If any of this applies to you, do not stop drinking suddenly and see a doctor first.

4.3       Before starting the Services, and before making any significant change to your drinking, you agree to consult your GP or another qualified health professional, particularly if you drink heavily or daily, are pregnant or breastfeeding, take medication, or have any physical or mental health condition.

4.4       You agree to continue any existing medical or mental health treatment, and not to stop, start or change any medication or treatment because of anything discussed in the Services, unless your treating practitioner advises you to.

4.5       You agree to tell me promptly if, during the Services, you experience withdrawal symptoms, a mental health crisis, thoughts of harming yourself or others, or any other circumstance that could make coaching unsafe or inappropriate for you, so that I can pause and point you to appropriate support.

4.6       Any suggestions made in the Services (for example about routines, sleep, exercise, nutrition or non-alcoholic alternatives) are general lifestyle information. You are responsible for deciding whether they are suitable for you and for seeking professional advice where appropriate.

5. Crisis and emergency support

5.1       The Services are not a crisis or emergency service and I am not available 24 hours a day. I may not see or respond to messages, emails or community posts immediately, and you must not rely on the Services for urgent help.

5.2       If you are in crisis, at risk of harming yourself or someone else, or need urgent medical help, you must contact emergency services or a crisis service directly:

(a)      Emergency (police, ambulance, fire): 000

(b)     Lifeline (24/7 crisis support): 13 11 14

(c)      Beyond Blue (24/7 mental health support): 1300 22 4636

(d)     National Alcohol and Other Drug Hotline (24/7): 1800 250 015

(e)     healthdirect (24/7 nurse advice): 1800 022 222

5.3       A fuller list of free Australian crisis, mental health, and alcohol and drug support services, including Queensland-specific services, is set out in Schedule 1 at the end of these Terms. You are encouraged to save these numbers before starting the Services.

5.4       If you are outside Australia, use your local emergency number. Schedule 1 includes the main emergency and crisis numbers for the United States. In the United Kingdom call 999 or 112 (emergency) or Samaritans on 116 123; in New Zealand call 111 (emergency) or 1737 (mental health support); in Canada call 911 (emergency) or 988 (suicide crisis).

5.5       If I become aware that you may be at serious and imminent risk of harm, I may contact emergency services or your nominated emergency contact, and clause 12 (Confidentiality) permits this.

6. Your responsibilities and acknowledgements

6.1       You acknowledge and agree that:

(a)      your participation is voluntary and you may stop at any time (subject to clause 10 regarding Fees);

(b)     you are responsible for your own decisions, actions and results, and for how you use anything discussed or provided in the Services;

(c)      coaching is most effective when you engage honestly, attend sessions, complete agreed actions and communicate openly;

(d)     you will provide accurate information about yourself where it is relevant to the safe delivery of the Services;

(e)     you will attend sessions free from intoxication, and I may end a session, without refund, if you appear intoxicated or unable to participate safely; and

(f)      you will not use the Services for any unlawful purpose or in a way that harms me or other participants.

7. The Services

1:1 Coaching

7.1       1:1 Coaching is delivered in sessions of the length and number set out in the Program Details, by video call, phone or in person as agreed. Sessions in a package must be used within 6 months of purchase (or the period stated in the Program Details), after which unused sessions expire without refund unless we agree otherwise in writing.

7.2       Support between sessions (for example by email or messaging) is offered as described in the Program Details, during business hours, and is not a substitute for sessions or for urgent support.

Group Programs

7.3       Group Programs run for the duration and on the schedule set out in the Program Details. Live calls take place at scheduled times; if you cannot attend, a recording may be made available but I do not guarantee live attendance will be rescheduled for individuals.

7.4       Self-led components are delivered through online Materials. Access to online Materials continues for the period stated in the Program Details, and I may update, replace or retire content over time.

7.5       I may change the dates, times, format, facilitator or platform of a Group Program for reasonable operational reasons. If I cancel a Group Program entirely before it starts, you will receive a full refund or, at your election, a transfer to a future intake.

Membership

7.6       The Membership is a recurring subscription giving access to group calls, a recorded call library and any community space, as described in the Program Details. Content and call schedules may vary from month to month and I may make reasonable changes to inclusions with notice.

7.7       Membership Fees are charged in advance for each billing period. You may cancel at any time through the method I provide; cancellation takes effect at the end of the current paid period and no refund is given for the remainder of that period. Access ends when the paid period ends.

Workplace Programs

7.8       Workplace Programs are delivered to the organisation under a written proposal setting out scope, dates, delivery format, participant numbers and Fees. The organisation is responsible for making these Terms available to Participants before the program starts.

7.9       Workplace Programs are general wellbeing education and coaching. They are not a fitness-for-work assessment, an employee assistance program, an occupational health service, or a substitute for the organisation’s work health and safety obligations. The organisation must not treat participation, non-participation or anything a Participant shares as a basis for employment decisions.

7.10     I will not disclose to the organisation what any individual Participant says or does in a session, other than aggregated, de-identified attendance or feedback information agreed in the proposal, unless clause 12.3 applies.

8. Group and community conduct

8.1       In any group setting (including live calls, recordings and online community spaces) you agree to:

(a)      keep confidential the identity of other participants and anything they share, and not repeat it outside the group;

(b)     treat others with respect, and refrain from harassment, discrimination, bullying, shaming or abusive language;

(c)      not give medical, clinical or diagnostic advice to other participants, and not encourage anyone to stop medication or treatment;

(d)     not record, screenshot, download or share any session, call or community content, except Materials I make available for your personal use;

(e)     not promote products, services or other groups, or solicit other participants, without my written permission; and

(f)      follow any community guidelines I publish from time to time.

8.2       Peer discussion is not moderated continuously. Views or experiences shared by other participants are their own, are not endorsed by me, and are not advice.

8.3       If you breach this clause, or your conduct is in my reasonable view disruptive or unsafe for others, I may remove you from a session, group or community, or terminate your access under clause 15, without refund.

9. Bookings, scheduling and cancellations

9.1       1:1 sessions are booked through the scheduling method I provide. Sessions are held in Australian Eastern Standard Time (Brisbane) unless otherwise agreed.

9.2       You may reschedule a 1:1 session without charge by giving me at least 24 hours’ notice. A session cancelled or rescheduled with less than 24 hours’ notice, or not attended (a no-show), is treated as delivered and is forfeited.

9.3       If you arrive late, the session will still end at the scheduled time. If you have not joined within 15 minutes of the start time and have not contacted me, the session is treated as a no-show.

9.4       If I need to cancel or reschedule a session, I will give you as much notice as reasonably possible and offer an alternative time. The session will not be forfeited.

9.5       I may exercise reasonable discretion to waive a forfeiture in cases of genuine emergency or illness. This is a courtesy and not an obligation.

10. Fees, payment and refunds

10.1     Fees are set out in the Program Details or at checkout and are in Australian dollars. Where GST applies, Fees are stated inclusive of GST unless otherwise indicated. I will issue a tax invoice on request.

10.2     Fees are payable in advance, or by any payment plan offered in the Program Details. Payment plans are a convenience: by choosing one you agree to pay the full Fee for the Service, and all remaining instalments remain payable even if you stop participating.

10.3     If a payment is late or fails, I may suspend your access to the Services until payment is made, and may recover any reasonable costs of collecting overdue amounts.

10.4     Refund policy. Except as required by the Australian Consumer Law or as stated in these Terms:

(a)      Fees are non-refundable once the Service has started, being the earlier of your first session, the program start date, the date you are granted access to Materials or community spaces, or the start of a Membership billing period;

(b)     Fees are not refunded for change of mind, failure to attend or complete a Service, forfeited sessions, or because you did not achieve a particular result;

(c)      a deposit or Fee paid before a Service has started is refundable, less any non-recoverable third-party costs, if you cancel in writing at least 7 days before the Service start date; and

(d)     if I cancel a Service before it starts, or I terminate the Services under clause 15.3, you will be refunded for the Services not provided.

10.5     Your consumer rights. The Services come with guarantees under the Australian Consumer Law that cannot be excluded, including that they will be provided with due care and skill, be fit for any purpose you told me about, and be supplied within a reasonable time. Nothing in these Terms limits those rights. If a Service fails to meet a consumer guarantee you may be entitled to a remedy, which may include a refund for the part of the Service affected.

10.6     I may change Fees for future Services or future Membership periods by giving you at least 30 days’ notice. Fee changes do not apply to a Service you have already paid for.

11. Intellectual property and Materials

11.1     I own, or am licensed to use, all intellectual property in the Services and Materials, including my methods, frameworks, program names, branding and content. Nothing in these Terms transfers ownership to you.

11.2     I grant you a personal, non-exclusive, non-transferable licence to use the Materials for your own personal, non-commercial purposes (or, for Workplace Programs, for the internal use of the Participants) during and after the Services, subject to these Terms.

11.3     You must not copy, share, sell, publish, distribute, adapt or create derivative works from the Materials, share your login details, or use the Materials to provide coaching, training or similar services to others, without my prior written consent.

11.4     Any feedback, ideas or suggestions you give me about the Services may be used by me without obligation to you.

12. Confidentiality and privacy

12.1     I will keep confidential the personal information and other matters you share with me in the course of the Services, and will not disclose them to any third party except as set out in this clause.

12.2     You acknowledge that coaching is not a legally privileged relationship and that I may be compelled to disclose information by law, court order or a regulatory authority.

12.3     I may disclose information without your consent where I reasonably believe it is necessary to:

(a)      prevent or lessen a serious threat to your life, health or safety, or that of another person;

(b)     comply with a legal obligation, subpoena or court order;

(c)      report a suspected serious criminal offence or the abuse or neglect of a child or vulnerable person; or

(d)     obtain professional supervision or legal advice, in which case identifying details will be removed where practicable.

12.4     I may keep brief session notes to support the Services. Notes are kept securely and retained for as long as reasonably necessary, after which they are deleted or destroyed.

12.5     I collect, use and store your personal information in accordance with my Privacy Policy, available at www.sarahconnelly.com.au/privacy-policy, which forms part of these Terms. Where the Services involve third-party platforms (for example video conferencing, scheduling, payment or community tools), your information is also handled under those providers’ terms and privacy policies.

12.6     Confidentiality among participants in group settings is governed by clause 8.

13. Recordings, testimonials and marketing

13.1     Group calls and Membership calls may be recorded and made available to other participants in the same program or Membership. By joining a call you consent to being recorded. If you prefer not to appear, you may keep your camera off and use the chat or a display name of your choosing.

13.2     1:1 sessions are not recorded unless we both agree in advance.

13.3     I will not use your name, image, words or story in testimonials, case studies, social media or other marketing without your prior consent, which you may withdraw at any time for future use.

13.4     Recordings and Materials are provided for the personal use of participants only and are subject to clauses 8 and 11.

14. Disclaimer, limitation of liability and release

14.1     Consumer guarantees preserved. Nothing in these Terms excludes, restricts or modifies any consumer guarantee, right or remedy under the Australian Consumer Law or any other law that cannot lawfully be excluded, restricted or modified. To the extent a guarantee applies and the law permits, my liability for a breach of that guarantee in relation to Services not of a kind ordinarily acquired for personal, domestic or household use (including Workplace Programs) is limited, at my option, to supplying the Services again or paying the cost of having them supplied again.

14.2     Disclaimer. To the maximum extent permitted by law, the Services and Materials are provided on an “as is” and “as available” basis for general educational and coaching purposes, and I make no representation or warranty about their accuracy, completeness, suitability for your circumstances, or the results you will achieve.

14.3     Your decisions. You acknowledge that you make your own decisions about your health, alcohol use, lifestyle, relationships, work and finances, and that I am not responsible for the consequences of decisions or actions you take, or refrain from taking, in connection with the Services, including any decision to change your drinking without medical advice.

14.4     Exclusion of certain loss. To the maximum extent permitted by law, I am not liable to you for any indirect, consequential, special or economic loss, loss of income, loss of opportunity, or loss of data, however arising, in connection with the Services.

14.5     Cap on liability. To the maximum extent permitted by law, my total aggregate liability to you for all claims arising out of or in connection with the Services, whether in contract, tort (including negligence), statute or otherwise, is limited to the total Fees you paid to me for the relevant Service in the 12 months before the event giving rise to the claim.

14.6     Third parties. I am not responsible for the acts, omissions, content or advice of other participants, guest speakers, or third-party platforms, products or resources referred to in the Services.

14.7     Release. To the maximum extent permitted by law, you release me from all claims, losses and liabilities arising from your voluntary participation in the Services, other than those caused by my fraud, wilful misconduct or a breach of a non-excludable consumer guarantee.

14.8     Indemnity. You agree to indemnify me against any loss, cost or claim (including reasonable legal costs) arising from your breach of these Terms, your misuse of the Materials, or your conduct towards other participants, except to the extent caused by my negligence or breach.

14.9     Each part of this clause is a separate limitation and applies to the fullest extent permitted by law. Nothing in this clause is intended to be an unfair contract term, and each provision should be read down where necessary to be enforceable.

15. Suspension and termination

15.1     You may stop participating in the Services at any time by telling me in writing. Fees remain payable in accordance with clause 10.

15.2     I may suspend or terminate your access to the Services, without refund, if you breach these Terms (including clause 8), fail to pay Fees when due, or behave in a way that is abusive, threatening or unsafe towards me or others.

15.3     I may also end the Services if, in my reasonable, good-faith view, coaching is no longer appropriate or safe for you (see clause 3.5), or if I am unable to continue providing the Services for reasons such as illness or a change in my business. In that case I will refund the Fees paid for Services not yet provided, and this is your sole remedy for that termination, without limiting your rights under the Australian Consumer Law.

15.4     Clauses 3, 4, 8, 10, 11, 12, 13, 14, 17 and 18 survive termination.

16. Changes to these Terms

16.1     I may update these Terms from time to time. The current version will be published on my website and the version in force when you purchase a Service applies to that Service.

16.2     For the Membership, I will give at least 30 days’ notice of any material change. If you do not accept the change you may cancel before it takes effect, and the change will not apply to the remainder of your current paid period.

17. Complaints and disputes

17.1     If you have a concern or complaint, please tell me in writing at sc@sarahconnelly.com.au. I will acknowledge it within 5 business days and work with you in good faith to resolve it.

17.2     If we cannot resolve a dispute within 30 days, either of us may refer it to mediation through a mutually agreed mediator, or through the Queensland Small Business Commissioner or a similar body, with costs shared equally.

17.3     Nothing in this clause prevents either of us from seeking urgent relief from a court or tribunal, or from exercising rights under the Australian Consumer Law, including through the Queensland Office of Fair Trading or the Queensland Civil and Administrative Tribunal.

18. General

18.1     Governing law. These Terms are governed by the laws of Queensland, Australia. Each party submits to the non-exclusive jurisdiction of the courts and tribunals of Queensland.

18.2     Entire agreement. These Terms, the Program Details and my Privacy Policy make up the entire agreement between us about the Services and replace any earlier discussions or representations.

18.3     Severability. If any part of these Terms is invalid or unenforceable, it is to be read down or severed to the extent necessary, and the remaining provisions continue in full force.

18.4     Waiver. A failure or delay in exercising a right does not operate as a waiver of that right.

18.5     Assignment. You may not transfer your rights under these Terms, including a place in a Group Program, to another person without my written consent. I may assign these Terms to a successor business on notice to you.

18.6     Events beyond control. Neither of us is liable for delay or failure to perform caused by events beyond our reasonable control, including illness, natural disaster, internet or platform outages, or government action. I will use reasonable efforts to reschedule affected Services.

18.7     Notices. Notices may be given by email to the addresses each party has provided and are taken to be received on the next business day after sending.

18.8     Relationship. Nothing in these Terms creates an employment, partnership, agency or fiduciary relationship, and nothing creates a therapist-client or doctor-patient relationship.
